Terms of Service

Local Deals Hero is a software-as-a-service (SaaS) platform that enables local businesses ("Business Clients") to create digital coupon pages, generate QR codes, deliver coupons to consumers via SMS and email, and access a customer data dashboard. Consumers may interact with the Platform by scanning QR codes and claiming coupons offered by participating businesses.

You must be at least 18 years old and legally authorized to enter into binding contracts to use the Platform as a Business Client. By using the Platform you represent and warrant that you meet these requirements. The Platform is intended for use by businesses operating lawfully within the United States.

To access the Platform as a Business Client, you must create an account and provide accurate, complete information. You are responsible for:

• Maintaining the confidentiality of your login credentials
• All activity that occurs under your account
• Notifying us immediately of any unauthorized use of your account at hello@localdealshero.com
• Ensuring all information you provide to us and your customers is accurate and not misleading

Access to the Platform for Business Clients requires a paid subscription. By subscribing you agree to the following:

• Flat Rate Billing: Subscriptions are billed at a flat monthly rate as displayed at the time of purchase. We do not charge a percentage of your sales.
• Recurring Billing: Your subscription renews automatically each month until cancelled.
• Cancellation: You may cancel your subscription at any time from your account dashboard. Your access will continue through the end of the current billing period. No refunds are issued for partial months.
• Price Changes: We may change subscription pricing with 30 days advance notice to your registered email address.
• Failed Payments: If a payment fails, we may suspend your account until payment is resolved.

As a Business Client, you agree to use the Platform only for lawful purposes. You may not:

• Create coupons or deals that are false, misleading, or deceptive
• Send unsolicited communications to consumers who have not opted in
• Use the Platform to promote illegal products or services
• Collect consumer data through the Platform for any purpose other than your own legitimate business communications
• Sell, share, or transfer consumer data collected through the Platform to third parties
• Attempt to reverse engineer, copy, or resell any part of the Platform
• Use the Platform in any way that could harm, disable, or impair our systems

Business Clients are responsible for ensuring that all consumer communications sent through the Platform comply with applicable laws, including the Telephone Consumer Protection Act (TCPA) and CAN-SPAM Act. Specifically:

• Consumers must affirmatively opt in before receiving SMS messages
• Every SMS campaign must include opt-out instructions (STOP)
• Opt-out requests must be honored immediately
• All email communications must include an unsubscribe link

Local Deals Hero provides opt-in mechanisms and opt-out handling through the Platform. Business Clients must not circumvent these mechanisms. Violations may result in immediate account termination.

Consumers who claim coupons through the Platform agree to the following:

• By providing your phone number and checking the opt-in box, you consent to receive SMS messages from Local Deals Hero on behalf of the participating business
• By providing your email address, you consent to receive email communications from the participating business
• You may opt out of SMS at any time by replying STOP
• You may opt out of email at any time by clicking the unsubscribe link
• Coupon offers are subject to the terms set by the individual Business Client and Local Deals Hero is not responsible for the fulfillment of coupon offers

The Local Deals Hero Platform, including its software, design, branding, and content, is owned by Local Deals Hero and protected by applicable intellectual property laws. You may not copy, reproduce, distribute, or create derivative works from any part of the Platform without our express written permission.

Business Clients retain ownership of the coupon content, logos, and deal information they upload to the Platform. By uploading content, you grant Local Deals Hero a limited license to display and deliver that content through the Platform on your behalf.

Consumer data collected through your coupon pages belongs to your business. Local Deals Hero acts as a data processor on your behalf. We do not sell your customer data to third parties. You are responsible for using that data in compliance with applicable privacy laws.

The Platform is provided "as is" and "as available" without warranties of any kind, express or implied. Local Deals Hero does not warrant that:

• The Platform will be uninterrupted, error-free, or completely secure
• SMS or email messages will be delivered in all circumstances
• The Platform will meet all of your specific business requirements

We are not responsible for the accuracy or fulfillment of coupon offers made by Business Clients.

To the fullest extent permitted by law, Local Deals Hero shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising out of or related to your use of the Platform. Our total liability to you for any claim arising under these Terms shall not exceed the total subscription fees you paid to us in the three months preceding the claim.

You agree to indemnify, defend, and hold harmless Local Deals Hero and its owners, employees, and agents from any claims, damages, losses, and expenses (including reasonable legal fees) arising out of your use of the Platform, your violation of these Terms, or your violation of any applicable law or third-party rights.

We reserve the right to suspend or terminate your account at any time for violation of these Terms, non-payment, fraudulent activity, or any conduct we determine to be harmful to the Platform or other users. You may terminate your account at any time by cancelling your subscription through your dashboard.

These Terms are governed by the laws of the State of Michigan, without regard to its conflict of law principles. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Macomb County, Michigan, and you consent to the personal jurisdiction of those courts.

We may update these Terms from time to time. We will notify Business Clients of material changes by email or through a notice on the Platform. Continued use of the Platform after changes take effect constitutes your acceptance of the updated Terms.
